About the Role As the Head of Legal (Commercial and Business Development) you will provide expert and strategic legal, commercial and general advice to the Commercial teams, the Board and the executive management team on Commercial/Corporate matters. You will also be expected to develop a strong knowledge of the wider business and the strategic direction of the business guiding and supporting the SLT (together with the GC) through complex legal and commercial issues. Your primary responsibility will be for setting internal commercial governance policies and manage the impact of external factors evaluating and weighing multiple inputs and impacts of any decision or course of action based on ethics and integrity, compliance and governance and a position of trust and respect with key senior stakeholders. Working closely with the General Counsel and other senior executives and the Board you will ensure effective communication and information flow that facilitates smooth and predictable decision-making and enables the Company and the Board to deliver to its mandate, championing best practice and change where required. In addition, externally, this role will also play a key role in building and nurturing key relationships with partners and customers managing complex negotiations and adversarial situations with professionalism and openness. Key Responsibilities: Establish a strong commercial /corporate legal function which is capable of supporting the strategic growth of the business into a sales driven organization with revenue growth and business development as its focus with control over risk and legal precedence. Develop and define the legal strategy for the commercial/ corporate legal area ensuring that the legal team support the business to deliver on its business Plan Support delivery of key commercial/procurement/sales projects working seamlessly with the sales and commercial teams as they develop new markets and products. Take accountability for production and delivery of Board/Governance papers on time and fit for purpose and for providing visibility and briefing shareholders and investors on any key contracts/commercial issues focusing on creating value and mitigation of risk etc. Working with the GRC team ensure that compliance, competition and risk are properly managed and controlled and understood by the business at every level as we transition to a fully independent status and expand the scale of the business into new areas of growth Develop a strong relationship with shareholders and other stakeholders to develop reporting templates that ensure shareholders have sufficient visibility and understanding of the commercial function of the business. Structure, lead, develop and motivate the team to ensure that personal and team objectives are met Build and maintain strong working relationships with the CEO and the CFO and other members of the SLT in particular the Chief Sales Officer as well as the rest of the business and other stakeholders and customers. Initiate, develop and manage relationships with external law firms to ensure they are appropriate for the advice sought. Lead in budget and cost management and ensure cost effective contracts are in place and OKRs/ SLAs for performance is set and clear As a senior leader in the business, you will be expected to lead the business through collaboration and communication whilst also being a role model for the Cornerstone Behaviours and Values driving a culture of performance and recognition. Knowledge, Skills and Experience: Experience in leading a complex commercial legal function and managing change and a track record in building strong corporate governance and compliance An experienced lawyer with at least 15 PQE, with broad legal corporate and commercial law knowledge and corporate governance, acquired both in private practice and/or in-house Experience of managing a legal function in a fast-moving technical environment dealing with complex commercial and transactional deals and teams of lawyer Professional qualification to practice English law (e.g. solicitor/Barrister) Strong interpersonal skills with proven ability to influence and build relationships with internal and external stakeholders including working with senior stakeholders and boards, with excellent judgement and analytical skills.
